Article XX （Governing Law and Dispute Resolution）
1. This Agreement shall be governed by and construed in accordance with the laws of Japan, without reference to conflict of laws principle.

All disputes, controversies or differences arising out of or in connection with this Agreement shall be finally settled by arbitration in Tokyo, Japan in accordance with the Commercial Arbitration Rules of the Japan Commercial Arbitration Association.
